    Welcome to www.timewisesolutions.co.nz (the “Site”), owned and operated by TimeWise Solutions Limited (“we”, “us”, “our”). These Terms of Use (“Terms”) govern your access to and use of our Site. By using the Site, you agree to these Terms. If you use the Site on behalf of a business or organisation, you confirm that you have the authority to act on its behalf. If you do not agree to these Terms, please do not use the Site.

    1. Scope of These Terms

    These Terms apply to your use of the Site, including its content, enquiry forms, online booking facilities and AI-assisted chat features.

    If you engage TimeWise Solutions for paid services, including operations consulting, business process reviews, systems setup, website and funnel development, CRM implementation, automation, AI workflow integration, financial management support or ongoing support, those services will be governed by a separate written agreement, proposal or accepted scope of work. That agreement will set out the applicable services, deliverables, fees, payment terms and any additional conditions. Where there is an inconsistency concerning paid services, the accepted written agreement will take precedence, subject to applicable law.

    2. Content and Intellectual Property

    All content on the Site, including text, images, graphics, process diagrams, downloads, templates, training materials and other resources (“Content”), is owned by or licensed to TimeWise Solutions and is protected by applicable intellectual property laws.

    You may view, download or print Content for your personal or internal business use only. You may not reproduce, distribute, modify, publish, commercially exploit or repurpose our Content without our prior written permission, except where permitted by law.

    Ownership and permitted use of materials developed for paying clients will be addressed in the relevant written service agreement.

    3. Trademarks

    The TimeWise Solutions name, logo and associated branding are our trademarks or business identifiers. Other trademarks appearing on the Site belong to their respective owners. You may not use our branding in a manner that suggests an association with or endorsement by TimeWise Solutions without our prior written consent.

    4. Third-Party Services

    The Site may contain links to, or integrate with, websites, applications, platforms and services operated by third parties (“Third-Party Services”).

    As part of our consulting services, we may recommend, configure, connect or assist clients with Third-Party Services, including CRM platforms, automation tools, AI applications, accounting software, scheduling systems, website platforms and payment processors.

    Third-Party Services may be subject to their own terms, privacy policies, availability, pricing and technical limitations. We do not control these providers and cannot guarantee their ongoing availability, performance, accuracy, security or continued provision of particular features.

    To the extent permitted by law, TimeWise Solutions is not responsible for losses arising solely from the independent acts, omissions, outages, changes or failures of Third-Party Services outside our reasonable control. However, nothing in these Terms excludes any responsibility we may have for services we provide, our own acts or omissions, or rights and remedies that cannot lawfully be excluded.

    Responsibilities relating to third-party systems configured or managed as part of a paid engagement will be further addressed in the relevant service agreement.

    5. Privacy

    Our Privacy Policy explains how we collect, use, store, disclose and protect personal information, including information provided through website forms, appointment bookings and our AI-assisted chat.

    6. Acceptable Use

    You must not use the Site in any way that:

    • Breaches applicable laws or regulations.
    • Harms, defrauds, threatens or misleads others.
    • Interferes with the Site, its security or associated systems.
    • Attempts to gain unauthorised access to information or services.
    • Infringes our intellectual property rights or those of others.
    • Uses automated systems to disrupt, overload or misuse the Site.

    We may take reasonable steps to investigate misuse and restrict access where necessary.

    7. Information and No Guarantee of Results

    Information on the Site is provided for general informational purposes and does not constitute financial, accounting, legal or other regulated professional advice tailored to your circumstances. Although we aim to provide accurate and useful information, it may not be complete or suitable for every business.

    Our consulting and automation services are intended to help businesses improve processes, systems and operational efficiency. However, we do not guarantee particular financial outcomes, revenue increases, cost savings, time savings or business results. Actual outcomes depend on factors including your business circumstances, implementation decisions, staff adoption, market conditions and third-party systems.

    Any specific commitments or deliverables agreed as part of a paid engagement will be set out in the relevant written agreement.

    8. AI-Assisted Website Features

    The Site may provide access to Lily, our AI-powered assistant, to help answer general enquiries, explain our services and assist with appointment bookings.

    Lily is an automated assistant and may occasionally provide incomplete, inaccurate or outdated information. Information provided through Lily is general in nature and should not be relied upon as a formal quotation, binding commitment or professional recommendation. Any service scope, fees or commercial arrangements must be confirmed separately by TimeWise Solutions in writing.

    Visitors may request human assistance instead of continuing with the AI assistant.

    Please do not submit passwords, account credentials, sensitive personal information or confidential business records through Lily. If you need to share that kind of information with us, contact us and we will arrange an appropriate separate channel.

    Information collected through Lily is handled in accordance with our Privacy Policy.

    9. Global Availability

    TimeWise Solutions operates from Dunedin, New Zealand. Our Site may be accessible internationally, but this does not mean our services are available or suitable in every jurisdiction.

    If you access the Site from outside New Zealand, you are responsible for complying with any applicable local laws. We do not represent that all information or services described on the Site are appropriate or legally available in every location.

    10. Indemnity

    To the extent permitted by law, you agree to indemnify TimeWise Solutions against reasonable third-party claims, losses, liabilities and expenses arising directly from:

    • Your unlawful use of the Site.
    • Your material breach of these Terms.
    • Your infringement of another person's intellectual property or other legal rights through your use of the Site.

    This obligation does not apply to the extent a claim or loss results from our own negligence, unlawful conduct or breach of applicable obligations.

    11. Termination and Monitoring

    We may restrict or suspend access to the Site where reasonably necessary to protect our systems, users, information or legal interests, including where we reasonably believe these Terms have been breached.

    We may monitor Site activity for security, operational and compliance purposes in accordance with our Privacy Policy and applicable law.

    12. Electronic Communications

    When you contact TimeWise Solutions electronically, including through email, website forms, online bookings or live chat, you agree that we may respond through appropriate electronic channels. Where permitted by law, electronic communications may be used to provide notices, appointment information, service updates and other business correspondence.

    Consent to receive service-related communications does not automatically constitute consent to receive promotional or marketing messages. Marketing communications will be managed in accordance with applicable New Zealand law, including the Unsolicited Electronic Messages Act 2007.

    13. Modifications

    We may update these Terms from time to time to reflect changes to our Site, services, technology or legal obligations. The latest version will be published on the Site with an updated revision date. Changes will apply prospectively from their effective date, unless otherwise permitted by law or agreed with you.

    Material changes to an existing paid engagement will be managed under the relevant written agreement rather than solely through updates to these website Terms.

    14. Governing Law

    These Terms are governed by the laws of New Zealand. Any disputes relating to these Terms will be subject to the jurisdiction of the courts of New Zealand, subject to any mandatory rights or legal requirements that apply.

    15. Consumer Rights

    Nothing in these Terms excludes, restricts or modifies rights or remedies under the Consumer Guarantees Act 1993, Fair Trading Act 1986 or other applicable legislation where those rights or remedies cannot lawfully be excluded.

    Where services are supplied to a business and the law permits the parties to contract out of particular statutory provisions, any such arrangement must be expressly agreed in writing and satisfy the applicable legal requirements.

    16. Miscellaneous

    These Terms constitute the agreement between you and TimeWise Solutions concerning your use of the Site. Nothing in these Terms creates a partnership, joint venture, employment, agency or franchise relationship. You may not assign your rights or obligations under these Terms without our prior written consent. If any provision is found to be invalid or unenforceable, the remaining provisions will continue to apply.

    We will not be responsible for delays or failures caused by events outside our reasonable control, except where applicable law requires otherwise. Where translations of these Terms are provided, the English version will prevail to the extent permitted by law.
